Client Terms & Conditions

These terms apply to every engagement between you (the "Client") and Niewdel. Submitting your first payment starts your engagement, governed by these terms together with the plan, scope, and pricing you agreed to before work began (your "Order"). If anything in your Order conflicts with these terms, your Order controls for that engagement. How and when you can cancel depends on your plan, as described below.

Niewdel designs, builds, hosts, and maintains websites; helps websites get found on Google (search optimization, Google Business Profile management, and directory listings); and manages Google Search Ads and Local Services Ads. The exact scope, deliverables, and timeline for your engagement are defined in your Order. Work outside that defined scope is a change request and may adjust fees or timeline. We will confirm any change in writing before starting it.

Launch guarantee. A new website on a monthly plan is ready for your approval within 14 days of your onboarding call, and we aim to have it live in that window. If we miss the 14 days and the delay is ours, your first month’s plan fee is free. That credit covers the plan fee only, not the build fee or ad spend, and it is the full remedy for a late launch.

What the guarantee depends on. The 14 days count only while we have what we need from you. On the onboarding call we ask for the materials and access the build needs, which can include domain and DNS access, photos and logos, your business details, Google Business Profile access, Google Analytics and Search Console access, and timely answers and approvals on copy and design. If any of that arrives late, the 14-day timeline and the first-month credit no longer apply, and the build continues on a timeline we agree with you. Going live requires your approval of the final site and your sign-off on a go-live date, so a site that is ready for approval within 14 days may go live later if that approval comes later. A late approval is not a late launch.

Search work runs on sites we host. Search optimization, Google Business Profile management, and directory listings are provided only for websites Niewdel builds and hosts, and only as part of the Website + SEO plan.

Fees, billing amounts, and the billing schedule are set in your Order. Our plans work like this:

• Website plan. A monthly fee, plus a one-time build fee paid before the build begins.
• Website + SEO plan. A monthly fee, plus a one-time build fee paid before the build begins. There is no minimum term. Any terms specific to your engagement are set in your Order.
• Ad management. A flat monthly management fee for Google Search Ads or Local Services Ads. It can be added to either plan or bought on its own.

Payment comes first. Work on an engagement does not begin until the applicable payment is received.

No refunds. All payments are non-refundable. This applies to one-time builds and to recurring monthly plans, whether or not the work has been fully delivered at the time of a request.

Missed payments. If a payment is not received within 7 days of its agreed payment date, all services under your Order (including websites, hosting, search work, and ad management) will be temporarily disabled until payment is received. If a payment is not received within 14 days of its agreed payment date, your Order is automatically cancelled. No refunds are issued on cancellation for any reason.

Ad spend. Your ad spend is paid by you directly to Google, from your own ad account and payment method. It is never billed through Niewdel. Niewdel charges only its flat management fee and never a percentage of ad spend.

Third-party costs. Hosting, security, and updates for sites on our plans are included in your monthly fee. Costs for third-party items you ask for (for example domain registration, premium stock photography, or paid plugins) may be passed through at cost and are governed by those providers' own terms.

All plans and ad management: month to month. You may cancel at any time by giving at least 48 hours' written notice before your next billing date. If you cancel within the 48-hour window before your next billing date, the cancellation takes effect on the following billing cycle, and that upcoming cycle is still billed.

Terms specific to your Order. If your Order sets any conditions on cancellation beyond these terms, including conditions tied to how long you stay on a plan, the Order controls.

On cancellation, recurring services (including hosting, search work, and ad management) end at the close of your paid period. Cancellation does not entitle you to any refund. Your domain, content, brand, and ad accounts remain yours, and you can take the site with you as described in Ownership and the Handoff below.

What is always yours. Your domain, your content, your brand assets, and your Google ad accounts are always yours, on every plan, from day one. That never changes.

Websites on the Website plan. You pay for the build up front, so the site build is yours once the build fee is paid. We host, secure, and maintain it for as long as you stay on the plan.

Websites on the Website + SEO plan. The site build is yours once the build fee is paid, the same as on the Website plan. Any other arrangement is set in your Order.

What Niewdel keeps. Niewdel keeps ownership of its pre-existing tools, code, templates, and know-how used to build your deliverables. You receive a license to keep using anything of ours that is built into what we deliver, for as long as you use it. Pre-existing third-party tools and libraries remain the property of their owners.

Portfolio. We may show non-confidential work we have done for you in our portfolio and marketing unless you ask us not to.

Your domain. Your domain stays in your own registrar account, hosted and controlled by you. If you purchase a domain through Niewdel, we host it for you and bill it to you at cost, at the standard registrar rate; you own it either way. Any domain we host is transferred to your preferred infrastructure whenever you ask, and at handoff or departure.

Hosting on our plans. While you are on a plan, we host and manage your site as part of the service. You never pay separately for hosting, maintenance, or security.

The handoff. The handoff moves everything to you: the complete site, its content, and all data, transferred to infrastructure you control, with no Niewdel dependencies left behind. There is no handoff fee once the site is yours under the Ownership section above. From the handoff on, hosting and upkeep are your responsibility, and search work ends, because it only runs on sites we host.

If we part ways. Your domain, content, and ad accounts are always yours and we will help you move them. To take the site itself with you, use the handoff once the site is yours.

Niewdel delivers its work with professional care. We do not guarantee specific business outcomes, revenue increases, search rankings (including any position on Google), or performance metrics unless a specific result is expressly promised in your Order. Technology and marketing work involve factors outside our control. When we run ads that send visitors to a website we did not build, we can deliver ad impressions and clicks but cannot guarantee calls, leads, or conversions, because those depend on that website. Except as stated in your Order, services are provided "as is."

To the maximum extent permitted by law, Niewdel is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to its services. Niewdel's total liability for any claim will not exceed the amount you paid for the specific services giving rise to the claim.

These terms are governed by the laws of the State of North Carolina. Any dispute will be resolved in the state or federal courts located in Mecklenburg County, North Carolina.

Changes. Niewdel may update these terms. Changes are not retroactive: the version of these terms in effect on the date your engagement began governs that engagement. Updated terms apply to engagements that begin after the update takes effect. The current version and effective date are shown at the top of this page.
