Client Terms & Conditions

These terms apply to every engagement between you (the "Client") and Niewdel. Niewdel does not require signed contracts. Submitting your first payment starts a month-to-month engagement, governed by these terms together with the specific scope, deliverables, and pricing you agreed to before work began (your "Order"). If anything in your Order conflicts with these terms, your Order controls for that engagement. You may cancel at any time, as described below.

Niewdel provides website design and management, marketing, search and AI-search optimization, automation, and custom software and related technology services. The exact scope, deliverables, and timeline for your engagement are defined in your Order. Work outside that defined scope is a change request and may adjust fees or timeline. We will confirm any change in writing before starting it.

Fees, billing amounts, and the billing schedule are set in your Order.

Payment comes first. Work on an engagement does not begin until the applicable payment is received.

No refunds. All payments are non-refundable. This applies to one-time builds and to recurring monthly plans, whether or not the work has been fully delivered at the time of a request.

Missed payments. If a payment is not received within 30 days of its agreed payment date, all services under your Order (including websites, hosting, automations, and software access) will be temporarily disabled until payment is received. If a payment is not received within 60 days of its agreed payment date, your services are automatically cancelled. No refunds are issued on cancellation for any reason.

Ad spend. Where Niewdel manages paid advertising, advertising spend is a transparent pass-through billed at cost. Niewdel never charges a percentage of ad spend.

Third-party costs. Fees for third-party services used to deliver or run your project (for example hosting, domains, or software subscriptions) may be passed through and are governed by those providers' own terms.

Recurring monthly plans are month-to-month. You may cancel at any time by giving at least 48 hours' written notice before your next billing date. If you cancel within the 48-hour window before your next billing date, the cancellation takes effect on the following billing cycle, and that upcoming cycle is still billed.

On cancellation, recurring services (including hosting, management, and any software or subscription access) end at the close of your paid period. Cancellation does not entitle you to any refund. Your domain remains yours, and you can take the site with you (see Ownership and the Handoff below).

What is always yours. Your domain, your content, and your brand assets are always yours, on every plan, from day one. That never changes.

One-time deliverables. Deliverables you pay for in full are yours once the invoice is paid: an upfront website build, a logo, a brand kit, and similar. Until an invoice is paid, that work remains ours.

Websites on monthly plans. A website delivered under a monthly plan runs as a managed service. We build it, host it, secure it, and maintain it on our infrastructure as part of your monthly fee. While it runs as a managed service, the site build itself belongs to Niewdel. You can take full ownership at any time, two ways: pay the upfront build price instead of (or on top of) the monthly plan, or take the handoff described in the next section.

What Niewdel keeps. Niewdel keeps ownership of its pre-existing tools, code, templates, and know-how used to build your deliverables. You receive a license to keep using anything of ours that is built into what we deliver, for as long as you use it. Pre-existing third-party tools and libraries remain the property of their owners.

Portfolio. We may show non-confidential work we have done for you in our portfolio and marketing unless you ask us not to.

Your domain. Your domain stays in your own registrar account, hosted and controlled by you. If you purchase a domain through Niewdel, we host it for you and bill it to you at cost, at the standard registrar rate; you own it either way. Any domain we host is transferred to your preferred infrastructure whenever you ask, and at handoff or departure.

Hosting on a monthly plan. While you are on a monthly plan, we host and manage your site as part of the service. You never pay separately for hosting, maintenance, or security.

The handoff. The handoff moves everything to you: the complete site, its content, and all data, transferred to infrastructure you control, with no Niewdel dependencies left behind. It is a one-time $999 fee in your first 12 months as a client, and free once you have been with us 12 months or more. From the handoff on, hosting and upkeep are your responsibility.

If we part ways. Your domain and your content are always yours and we will help you move them. To take the site itself with you, use the handoff, at or before your departure.

Niewdel delivers its work with professional care. We do not guarantee specific business outcomes, revenue increases, rankings, or performance metrics unless a specific result is expressly promised in your Order. Technology and marketing work involve factors outside our control. Except as stated in your Order, services are provided "as is."

To the maximum extent permitted by law, Niewdel is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to its services. Niewdel's total liability for any claim will not exceed the amount you paid for the specific services giving rise to the claim.

These terms are governed by the laws of the State of North Carolina. Any dispute will be resolved in the state or federal courts located in Mecklenburg County, North Carolina.

Changes. Niewdel may update these terms. Changes are not retroactive: the version of these terms in effect on the date your engagement began governs that engagement. Updated terms apply to engagements that begin after the update takes effect. The current version and effective date are shown at the top of this page.
